Vprašanje neodvisnosti delavskih predstavnikov v organih nadzora


Povzetek: Članek obravnava pojem neodvisnosti predstavnikov delavcev v organih družbe, ki so v dvojni vlogi predstavnikov zaposlenih in članov nadzornega organa. Vprašanje je analizirano z vidikov korporativnega upravljanja in sistema delavskega soupravljanja. Zakon, ki ureja sodelovanje delavcev pri upravljanju gospodarskih družb, ne določa izrecno njihovih nalog, ampak se sklicuje na zakon o gospodarskih družbah, ki predpisuje osebno izvajanje korporacijskopravnih mandatov in ravnanje v skladu z interesi družbe. Prispevek analizira tudi zakonske določbe in priporočila dobre prakse glede odpravljanja in upravljanja nasprotij interesov v gospodarskih družbah. Ravno tako so predstavljeni izsledki empirične raziskave, ki kažejo na različno razumevanje neodvisnosti delavskih predstavnikov v organih nadzora in posledično na različne pristope k obvladovanju teh situacij. Ugotovitve tako izvedene analize nakazujejo pravne in praktične dileme glede neodvisnosti predstavnikov zaposlenih v organih nadzora, kar je lahko osnova za morebitne zakonske spremembe kot tudi za nadaljnje raziskave tega kompleksnega področja.

Title: The Issue of Independence of Board-Level Employee Representatives

Abstract: This article examines the concept of independence of board-level employee representatives in their dual role as employee representatives and members of supervisory bodies. The issue has been analysed from the perspective of corporate governance and from the perspective of workers'' participation in company management. The act governing workers'' participation in management of corporate entities does not explicitly define their tasks, but rather refers to the Companies Act, which prescribes personal execution of corporate terms of office and acting in accordance with the interests of the company. The article provides an analysis of the legal provisions and recommendations of best practice for the elimination and management of conflicts of interest in corporate entities. The article also presents the findings of an empirical research that reveals different interpretations of independence of board-level employee representatives and consequently different approaches to addressing such situations. The results of the analysis raised legal and practical concerns about the independence of board-level employee representatives, which could serve as the basis for possible legislative changes and further research of this complex subject matter.
