Povzetek: Kriza je kratkotrajno neugodno, nezaželeno in kritično stanje v podjetju, ki neposredno ogroža nadaljnji obstoj in razvoj, zato so tudi postopki njenega obvladovanja oziroma sanacije podjetja izjemno zahtevni in tvegani, izid pa negotov. Postopek sodne prisilne poravnave je ena izmed oblik prestrukturiranja podjetja v krizi. Vprašanje, ki ga obravnava ta prispevek, pa je, ali so prisilne poravnave kot skrajna rehabilitacijska možnost podjetja v krizi resnično v vlogi sanacijskega postopka, na osnovi katerega si bo podjetje zagotovilo dolgoročno plačilno sposobnost in zadostno likvidnost, predvsem pa nadaljnji obstoj in razvoj z vsaj povprečno panožno stopnjo uspešnosti v skladu z namenom modernega insolvenčnega prava. Na osnovi teoretičnega diskurza, empirične metode in strnjene analize primerov iz slovenske poslovne in insolvenčne prakse je bilo ugotovljeno, da prisilna poravnava v sedanjem pravnem okviru in poslovni praksi zaradi številnih pomanjkljivosti v pripravi in izvedbi ni uresničila svojega namena in udeležencem ne prinaša koristi, kajti le izjemoma se pojavlja v funkciji sanacije podjetja v krizi. Če niso izpolnjeni v prispevku obravnavani pogoji za uspešno obvladovanje krize, potem tudi široka paleta možnosti prestrukturiranj podjetja v krizi, vključno z obravnavano sodno prisilno poravnavo, ne bo omogočila preživetja in konkurenčnega razvoja podjetja. Ključne besede: kriza, sanacija, prestrukturiranje, insolvenčno pravo, insolvenčni postopki, prisilna poravnava, poslovni model Title: Are In-Court Compulsory Composition Proceedings in Fact Restructuring Proceedings Abstract: A crisis is a short-term adverse, unwanted and critical situation in a company, which directly threatens the continued existence and development of a company, and therefore its risk management programmes or reorganisation proceedings are highly demanding, risky and uncertain about the final outcome. A compulsory composition proceeding is one of the possible ways of restructuring a company in crisis. The question addressed in this paper is whether compulsory composition proceedings as the last rehabilitation option of a company in crisis are indeed in the role of a restructuring proceeding, based on which the company will ensure long-term solvency and sufficient liquidity, and above all continued existence and development with at least an average sector level of performance, in accordance with the purpose of modern insolvency law. Based on theoretical discourse, empirical methods and concise analysis of cases from the Slovenian business and insolvency practice, it has been established that in-court compulsory composition within the legal framework and business practice has failed to implement its purpose for a number of shortcomings in its preparation and implementation, and brings no benefit to participants, as it exceptionally appears in the function of restructuring in a company in crisis. If the conditions addressed in this paper are not fulfilled, a wide range of restructuring options in a company in crisis, including the discussed in-court compulsory composition, will not allow for the survival and competitive development of a company.
